1. Definitions and Acceptance of Terms
1.1 Definitions
- "Agreement" means these Terms of Use governing your access to and use of the Mindstage platform.
- "Content" means any scenarios, characters, messages, media, or other materials created, uploaded, or generated through the Service.
- "User" or "You" means any individual or entity accessing or using the Service, who is of legal age to enter into binding agreements.
- "Mindstage" or "We" means Mindstage and its affiliates.
- "Service" means the Mindstage platform, including all AI models, tools, features, and associated services.
1.2 Acceptance
By accessing and using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to this Agreement, you are not authorized to access or use the Service.
2. Description of Service
Mindstage is an AI-powered interactive scenario platform that allows users to:
- Create and explore interactive scenarios with AI-driven characters
- Design custom characters and environments
- Share scenarios with the community
- Generate and manage media assets
3. Age Requirements
Minimum Age: You must be 18 years or older to use Mindstage.
By creating an account, you confirm that you are at least 18 years of age. We require birthdate verification during registration. If we discover that a user is under 18, the account will be immediately suspended and all associated data will be deleted.
4. User Accounts
4.1 Registration
Some features of the Service may require you to create an account. You agree to provide accurate, current, and complete information during registration, including your birthdate for age verification.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
5. Payment Terms & Credits
5.1 Currency and Pricing
All prices and transactions are in US Dollars (USD). Mindstage operates on a pay-as-you-go basis where you only pay for what you use.
5.2 Credits System
Credits are used for:
- AI inference and text generation
- Media generation (images, audio)
- Scenario creation and running
- Character development
Credit Expiration: Credits expire 6 months after purchase. Use them before they expire!
5.3 Refund Policy
No Refunds: All sales are final. Credits cannot be refunded once purchased.
5.4 Credit Forfeiture
Important: Users who are suspended or banned for Terms of Use violations forfeit ALL remaining credits without refund. No exceptions.
6. Acceptable Use Policy
6.1 Content Guidelines
You agree not to create or share content that:
- Is illegal or promotes illegal activities
- Contains hate speech, discrimination, or harassment
- Contains extreme violence or graphic content
- Sexualizes minors in any way
- Infringes on intellectual property rights
- Contains personal information of others without consent
- Impersonates others or misrepresents your identity
- Contains spam, malware, or phishing attempts
6.2 Adult Content Policy
Important: Adult material CANNOT be set to public visibility. All adult content must remain private to protect our community.
6.3 Content Ratings
All scenarios and characters must be appropriately rated according to their content. Misrating content may result in account suspension.
7. Content Ownership & Intellectual Property
7.1 Message Privacy and Security
Your Privacy Protected: Your conversations on Mindstage are private and secure.
- Messages are encrypted at rest using industry-standard encryption
- Only you can access your private message history
- We use automated safety systems to ensure compliance without human review of private content
- We do not use your private messages to train AI models without explicit consent
- Deletion is permanent and unrecoverable - we cannot restore deleted messages
7.2 Private Scenarios and Characters
Private Content Rights: Scenarios and characters marked as private remain your intellectual property:
- You retain full ownership and copyright
- Content is accessible only to you
- We may review private content solely for:
- Security and safety compliance
- Service improvement and bug fixes
- Legal compliance when required by law
- Private content is never shared with third parties except as required by law
7.3 Public Scenarios and Characters
Important: Publishing content as public grants us significant rights. Please read carefully before making content public.
When you publish scenarios or characters as public:
- You retain ownership but grant Mindstage a perpetual, irrevocable, worldwide, royalty-free license to:
- Use, reproduce, modify, adapt, and create derivative works
- Display, perform, and distribute the content
- Sublicense these rights to other users for use within Mindstage
- Use the content for marketing and promotional purposes
- Other users may interact with, remix, and build upon your public content
- Public content cannot be made private again - the license persists even after deletion
- You warrant that you have the right to grant these licenses
7.4 AI-Generated Responses
LLM Output Ownership: Content generated by our AI systems in response to your prompts:
- Is provided to you under a non-exclusive license
- May be similar to content generated for other users with similar prompts
- Can be used by you for any lawful purpose, including commercial use
- We retain the right to review AI responses for:
- Model improvement and quality assurance
- Safety and compliance monitoring
- Research and development purposes
7.5 Data Deletion
Account Deletion: You may request deletion of your account and associated data.
- Deletion: Upon request, we will permanently remove your content from our servers
- Important: Deletion is final and cannot be undone
- Exception: Public content licenses persist even after account deletion
- Contact: Email [email protected] to request account deletion
7.6 Third-Party Content and Rights
You represent and warrant that:
- You own or have rights to all content you upload
- Your content does not infringe on any third-party intellectual property rights
- You will not upload copyrighted material without permission
- You will not use real persons' names, likenesses, voices, or identities without their explicit consent
- You will not create characters based on real individuals without permission
- You will not impersonate or falsely represent any person or entity
- You will not use trademarks, logos, or branded content without authorization
- You are solely responsible for any intellectual property or personality rights violations
7.7 DMCA Compliance
We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). To report copyright infringement:
- Send a DMCA notice to: [email protected]
- Include: description of copyrighted work, location of infringing content, your contact information, and a statement of good faith
- Repeat infringers will be terminated
8. AI-Generated Content and Model Changes
8.1 Content Accuracy
Content generated by our AI systems is provided "as is" without warranties. While we strive for accuracy and appropriateness, AI-generated content may occasionally be incorrect, biased, or inappropriate.
Important: You are responsible for reviewing and moderating any AI-generated content before using it outside the Service.
8.2 Model Updates and Changes
Notice: AI models powering Mindstage are continuously evolving and may be updated, replaced, or modified at any time to improve performance, safety, or capabilities.
Potential impacts of model changes include:
- Character Personality Variations: Characters may exhibit slightly different personalities, responses, or behaviors after model updates
- Response Style Changes: The writing style, tone, or verbosity of AI responses may change
- Capability Differences: New features may be added or certain capabilities may be modified
- Content Generation Variations: The same prompts may produce different outputs after model updates
- Memory and Context Handling: How the AI remembers and uses previous conversation context may evolve
What this means for you:
- Characters you've created may behave somewhat differently over time
- Scenarios may play out in new or unexpected ways after updates
- Major model changes will be announced when possible, but minor updates may occur without notice
9. Monitoring & Moderation
9.1 Automated Safety System
We employ privacy-preserving automated systems that check for:
- Content rating accuracy through pattern matching
- Prohibited content using automated classifiers
- Unusual account activity patterns
- Community reports requiring review
9.2 Enforcement Actions
Violations may result in:
- Warning for first minor violations
- Temporary suspension for repeated or moderate violations
- Permanent ban and credit forfeiture for severe violations
- Reporting to authorities for illegal content
Privacy Note: All safety checks use automated systems without human review of your private content. Only content flagged for severe violations undergoes human review.
10. Prohibited Uses
Critical: We are committed to promoting safe and responsible use of our Service. Violations of this policy may result in immediate termination and forfeiture of all credits.
10.1 Illegal Activities
You agree you will not use, or allow others to use, the Service to violate the law or others' rights, including to:
- Engage in, promote, generate, contribute to, encourage, plan, incite, or further illegal or unlawful activity or content, such as:
- Violence or terrorism
- Exploitation or harm to children, including the solicitation, creation, acquisition, or dissemination of child exploitative content
- Human trafficking, exploitation, and sexual violence
- The illegal distribution of information or materials to minors
- Sexual solicitation
- Any other criminal activity
- Harassment, abuse, threatening, or bullying of individuals or groups
- Discrimination or other unlawful conduct in the provision of employment, credit, housing, or other essential services
- Unauthorized practice of any profession including financial, legal, medical/health, or related professional practices
- Collection or processing of health, demographic, or other sensitive personal information without required rights and consents
- Infringement of third-party rights, including intellectual property rights
- Creation of malicious code, malware, computer viruses, or anything that could disable, overburden, or impair the Service
10.2 Activities Presenting Risk of Harm
You may not engage in, promote, incite, facilitate, or assist in activities that present a risk of death or bodily harm, including:
- Military, warfare, nuclear industries or applications, espionage
- Activities subject to export control regulations or arms trafficking
- Development or use of weapons
- Illegal drugs and regulated/controlled substances
- Operation of critical infrastructure, transportation technologies, or heavy machinery
- Self-harm or harm to others, including suicide, cutting, and eating disorders
- Content intended to incite or promote violence, abuse, or bodily harm
10.3 Deceptive or Misleading Activities
You may not intentionally deceive or mislead others, including:
- Generating, promoting, or furthering fraud or disinformation
- Creating or promoting defamatory content
- Generating or distributing spam
- Impersonating another individual without consent or legal right
- Representing AI-generated content as human-generated
- Generating or facilitating false online engagement, including fake reviews
- Misrepresenting the nature, source, or ownership of generated content
10.4 Technical Violations
You may not:
- Attempt to gain unauthorized access to any systems or data
- Interfere with, disrupt, or create undue burden on the Service
- Use automated systems, bots, or scrapers without explicit permission
- Bypass or attempt to bypass any security measures or rate limits
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to develop competing products or services
11. Intellectual Property
The Service, including its original content, features, and functionality, is owned by Mindstage and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
12. Termination
We reserve the right to terminate or suspend your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Consequences of Termination: Upon termination for Terms violations, you forfeit all remaining credits without refund and lose access to all content and data associated with your account.
13. Disclaimers and Limitations
13.1 Disclaimer of Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND. MINDSTAGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
You are solely responsible for determining the appropriateness of using or redistributing any content from the Service and assume any risks associated with your use of the Service and any output and results.
13.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MINDSTAGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
13.3 Indemnification
You will indemnify and hold harmless Mindstage from and against any claim by any third party arising out of or related to your use or distribution of the Service or any content created through it.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date.
15. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
The courts of British Columbia, Canada shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement.
15.1 Dispute Resolution
Before pursuing formal legal action, both parties agree to attempt to resolve any dispute through good faith negotiation. If resolution cannot be reached within 30 days, any dispute shall be finally resolved by arbitration in Vancouver, British Columbia, in accordance with the Arbitration Act of British Columbia and the rules of the ADR Institute of Canada.
16. General Provisions
16.1 Entire Agreement
This Agreement constitutes the entire agreement between you and Mindstage regarding the use of the Service and supersedes all prior agreements and understandings.
16.2 Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
16.3 Waiver
The failure of Mindstage to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer this Agreement or any rights granted hereunder without Mindstage's prior written consent. Mindstage may assign this Agreement without restriction.
16.5 Survival
Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive the termination of this Agreement.
